Terms of Service

Last updated: June 25, 2026

Applies to: HEALIXAI SINGAPORE HOLDINGS PTE. LTD. ("Company") and any person that uses the Service (each a "Customer").

These terms of service ("Terms") govern your access to and use of MammoAI, including mammography reading workflows, data labelling tools, simulators, billing features, and related services (collectively, the "Service") provided by the Company ("we," "us," or "our") to each Customer ("you," "your"). MammoAI is a product licensed by the Company.

By accessing or using the Service, creating an account, uploading data, or clicking to accept these Terms where presented, you agree to be bound by these Terms and our Data Protection and Privacy Policy. If you do not agree, you are not authorised to use the Service.

1. Eligibility and Authorised Use

The Service is available directly to individual consumers who may include patients, radiologists, clinical researchers and other professionals involved in evaluating or labelling medical imaging data or other individuals acting in a personal capacity.

You represent that you are at least 18 years old and have the authority to enter into these Terms on your own behalf.

You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, professional obligations, and organizational policies, including rules governing protected health information and medical device use in your jurisdiction.

2. Account Registration and Security

Access to the Service may require an invitation or approved account. You agree to provide accurate account information and to keep your credentials confidential. You are responsible for all activity that occurs under your account.

Notify us promptly if you suspect unauthorized access to your account. We may suspend or terminate accounts that violate these Terms or pose a security risk.

The MammoAI score is an AI-generated assessment score ranging from 0 to 100. Higher scores indicate stronger similarity to imaging patterns associated with breast cancer. The score is not a diagnosis and should not be interpreted as the probability of cancer. Outputs generated through the Service are probabilistic in nature and should be interpreted in the context of other clinical information available to the Customer.

3. Description of the Service

Through MammoAI, we provide tools to upload, view, process, review, annotate, simulate, and summarize mammography studies using AI-assisted workflows and human-in-the-loop features. Features may include study upload limits, AI credit consumption, feedback capture, reporting, organization-based access, and evaluation environments.

We may modify, suspend, or discontinue any part of the Service at any time, including features offered during early access, beta, preview, or evaluation periods.

4. User Content and Uploaded Data

You retain ownership of the data, files, annotations, comments, and other content you submit to the Service ("User Content"), subject to the rights you grant us below.

By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and use User Content solely to operate, provide, maintain, secure, and improve the Service, including generating AI outputs and workflow summaries, as permitted by applicable law and your contractual obligations.

User Content will be processed, retained, and if applicable, deleted in accordance with the Company's Data Protection and Privacy Policy. A copy of the Company's Data Protection and Privacy Policy is available online and can be made available on request.

You represent and warrant that:

  • You have all necessary rights, permissions, and legal bases to upload and use User Content in the Service;
  • Your User Content does not violate applicable law or third-party rights;
  • You will not upload data you are not authorised to process, including identifiable patient data unless properly authorised; and
  • You will comply with applicable upload limits and technical requirements, including DICOM-only uploads where specified.

You are solely responsible for the accuracy, quality, and legality of User Content and the means by which User Content is obtained.

5. Disclaimers

The Service uses artificial intelligence to assist with imaging review and related workflows. AI outputs may be incomplete, inaccurate, or unsuitable for a particular case. AI results are provided for assistive, evaluative, research, or labelling purposes only.

The Service is not intended to diagnose, treat, cure, or prevent any disease or condition, and it does not replace the professional judgment of a qualified clinician. You must independently verify all outputs before relying on them for any clinical, regulatory, or operational decision.

The Service is not offered as a regulated medical device and is not cleared or approved for standalone diagnostic use in your jurisdiction.

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.

We do not warrant that the service will be uninterrupted, error-free, secure, or that AI outputs will be complete or clinically suitable.

Any clinical decisions, treatment determinations, or patient care decisions remain the sole responsibility of the Customer and their healthcare professionals.

The Company does not practice medicine or provide medical services, and the use of the Services does not establish any fiduciary duty or relationship between the Customer and the Company.

6. Acceptable Use

You must not, and must ensure that any third parties acting on your behalf do not, directly or indirectly:

  • Use the Service for unlawful, harmful, fraudulent, or unauthorised purposes;
  • Upload malware, corrupted files, or content unrelated to permitted Service use;
  • Attempt to bypass security controls, access restrictions, upload limits, or billing mechanisms;
  • Misrepresent AI outputs as human-only clinical findings or guaranteed diagnostic conclusions;
  • Use the Service in a manner that infringes intellectual property, privacy, or confidentiality rights;
  • Interfere with or disrupt the Service or other users;
  • Sell, resell, license, sublicense, distribute, make available, or otherwise provide access to the Service to any third party, except as expressly permitted under this agreement;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the underlying structure, algorithms, or model parameters of the Service or any artificial intelligence or machine learning models used in connection with the Service;
  • Scrape, extract, or systematically collect data or outputs from the Service for any reason other than as permitted through normal use;
  • Use the Service to extract, infer, or otherwise attempt to derive model parameters, training data, or underlying model architecture;
  • Use the Service to benchmark the performance of the Service against other products or services for public disclosure without the Company’s prior written consent;
  • Use the Service, including any outputs generated, to develop, train, or assist in the development of any product or service that competes with the Service;
  • Use the Service other than in accordance with their intended use, documentation, and this agreement;
  • Circumvent or attempt to circumvent any technical, security, or authentication measures implemented by the Company to protect the Service;
  • Access or attempt to access any data, systems, or environments belonging to other customers of the Company;
  • Use the Service in violation of applicable laws, regulations, or professional obligations; or
  • Copy, modify, distribute, sell, or lease any part of the Service except with the Company’s prior written consent.

We may investigate violations and take appropriate action, including suspension or termination of access.

7. Billing, Credits, and Payments

Certain features may require purchase or consumption of AI credits or other paid services. Prices, credit balances, and billing terms displayed in the Service are part of these Terms unless otherwise agreed in writing.

Payments may be processed by third-party payment providers. By submitting payment information, you authorize us and our payment partners to charge the applicable fees. Except where required by law, fees are non-refundable once credits are issued or services are consumed.

We may change pricing or billing features with reasonable notice where required. Continued use after a pricing change constitutes acceptance of the updated pricing for new purchases.

8. Intellectual Property

The Service, including its software, interfaces, branding, models, documentation, and all related intellectual property, is owned by the Company or its licensors and is protected by applicable intellectual property laws.

The Company shall own all right, title, and interest in any feedback, suggestions, or ideas provided by a Customer regarding the Service.

The Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely in accordance with these Terms and any applicable Company policies.

Except for the limited rights expressly granted in these Terms, no other rights are granted to you by implication or otherwise.

You acknowledge that the artificial intelligence models used in connection with the Service constitute valuable proprietary technology and trade secrets of the Company and agree not to take any action that would compromise the confidentiality, integrity, or value of such technology.

9. Confidentiality and Evaluation Access

If you receive early, exclusive, beta, preview, or evaluation access, you acknowledge that the Service may contain confidential or pre-release features. You agree not to disclose non-public information about the Service without our prior written consent, except as required by law.

Feedback you provide may be used by us without restriction or compensation, except where prohibited by applicable law or a separate agreement.

10. Third-Party Services

The Service may integrate with or rely on third-party services such as authentication, cloud storage, email, analytics, and payment providers. Your use of those services may be subject to separate third-party terms and privacy policies. We are not responsible for third-party services outside our reasonable control.

11. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access if you violate these Terms, create risk or possible legal exposure, fail to pay applicable fees, or if we discontinue the Service.

Upon termination, your right to access the Service ends immediately. Sections that by their nature should survive termination will remain in effect, including provisions relating to disclaimers, limitations of liability, indemnification, and intellectual property.

12. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or clinical outcomes, arising out of or related to your use of or inability to use the service.

To the maximum extent permitted by law, the Company's total liability for any claim arising out of or relating to the service or these terms will not exceed the greater of:

  • The amount you paid to us for the service in the 12 months before the event giving rise to the claim; and
  • One hundred US dollars (USD$100).

13. Indemnification

You agree to indemnify, defend and hold harmless the Company and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

14. Governing Law

The laws applicable in Singapore govern these Terms.

You agree to submit to the non-exclusive jurisdiction of the courts of Singapore and any courts competent to hear appeals from those courts.

15. Assignment

You may not assign, transfer, or delegate these Terms or any of your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. Any purported assignment in violation of this clause is void.

We may assign, transfer, or delegate these Terms, in whole or in part, without your consent, including in connection with a merger, acquisition, reorganisation, financing, or sale of all or substantially all of our assets, or to an affiliate within our corporate group.

Subject to the foregoing, these Terms will bind and benefit the parties and their respective permitted successors and assigns.

16. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms, other than payment obligations, to the extent such failure or delay is caused by circumstances beyond our reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labour disputes, governmental action, internet or telecommunications failures, power outages, or failures of third-party service providers or infrastructure on which the Service relies.

If a force majeure event continues for more than 30 consecutive days, either party may terminate these Terms on written notice to the other, without liability for such termination.

17. Notices

We may give notice to you by email to the address associated with your account, by posting a notice within the Service, or by other reasonable means. Notice will be deemed given 24 hours after it is sent or posted, unless we are notified that the notice was not delivered.

You may give notice to us by email to contact@healixai.ai or by mail to 68 Circular Road, #02-01, Singapore 049422. Notice to us will be deemed given when actually received.

Each party is responsible for keeping its contact details up to date for the purposes of this clause.

18. Entire Agreement

These Terms, together with all Company Policies (including our Data Protection and Privacy Policy) and any other documents expressly incorporated by reference, constitute the entire agreement between you and the Company in relation to the Service, and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral, relating to the same subject matter.

You acknowledge that you have not relied on any statement, representation, or warranty other than as expressly set out in these Terms.

19. Severability

If any provision of these Terms is held by a court or other competent authority to be invalid, illegal, or unenforceable, that provision will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if it cannot be so modified, will be severed from these Terms.

The invalidity, illegality, or unenforceability of any provision will not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which will continue in full force and effect.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If changes are material, we may provide additional notice through the Service or by other reasonable means. Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
